Backups

AI Assisted Agency disclaims any responsibility or liability for any Content residing on or transmitted through the Website. Under no circumstances shall AI Assisted Agency be liable for the loss, deletion, or corruption of any Content. This Agreement does not convey or grant you any ownership or proprietary interest in or to any Intellectual Property Rights owned by AI Assisted Agency or any third party. All rights, title, and interest in and to such property shall remain exclusively with AI Assisted Agency (or the respective third-party owners, as applicable).

All trademarks, service marks, trade dress, graphics, logos, and other brand identifiers appearing on or in connection with the Website and Services are the property of AI Assisted Agency or its licensors and are protected by applicable intellectual property laws. Any other trademarks, service marks, graphics, and logos used in connection with the Website and Services may be the property of their respective third-party owners.

Your access to or use of the Website and Services does not grant you any right or license, whether express or implied, to use, copy, reproduce, modify, distribute, or otherwise exploit any of AI Assisted Agency’s or third parties’ Intellectual Property Rights without prior written consent.

Limitation of Liability

To the fullest extent permitted by applicable law, in no event shall AI Assisted Agency, including its parent entities, subsidiaries, affiliates, officers, directors, employees, agents, contractors, suppliers, or licensors, be liable to you or any third party for any indirect, incidental, consequential, special, exemplary, punitive, or enhanced damages of any kind, including, without limitation, damages for loss of profits, revenue, sales, goodwill, use of content, business interruption, loss of anticipated savings, loss of business opportunity, or any other intangible losses, arising out of or in connection with your access to or use of, or inability to access or use, the Website, Services, or Content, regardless of the theory of liability (whether based in contract, tort, strict liability, negligence, breach of statutory duty, warranty, or otherwise), and even if AI Assisted Agency has been advised of, or could have reasonably foreseen, the possibility of such damages.

To the maximum extent permitted by applicable law, the total aggregate liability of AI Assisted Agency and its affiliates, officers, employees, agents, suppliers, and licensors, for any claims under or in connection with this Agreement or your use of the Website or Services shall not exceed the greater of: (i) one U.S. dollar (USD $1.00); or (ii) the total amount actually paid by you to AI Assisted Agency in the one (1) month period immediately preceding the event giving rise to the claim.

These limitations and exclusions of liability shall apply notwithstanding any failure of essential purpose of any limited remedy and shall survive termination or expiration of this Agreement.

Indemnification

You agree to indemnify, defend, and hold harmless AI Assisted Agency, its parent entities, subsidiaries, affiliates, directors, officers, employees, agents, contractors, suppliers, and licensors (collectively, the “Indemnified Parties”) from and against any and all claims, demands, actions, proceedings, liabilities, losses, damages, judgments, settlements, costs, and expenses (including, without limitation, reasonable attorneys’ fees and legal costs) arising out of or in connection with:

(a) your use or misuse of the Website or Services;
(b) your breach of this Agreement or any applicable law, regulation, or third-party rights;
(c) any Content you submit, post, transmit, or otherwise make available through the Website or Services; or
(d) any willful misconduct, fraud, or negligence on your part.

You further agree that the Indemnified Parties shall have the right, but not the obligation, to assume the exclusive defense and control of any matter subject to indemnification by you, and you agree to cooperate fully with such defense. Your indemnification obligations shall survive the termination or expiration of this Agreement and your use of the Website and Services.

Severability

All rights, obligations, and restrictions set forth in this Agreement shall be enforceable and binding only to the extent that they do not conflict with any applicable law. It is the intent of the parties that the terms of this Agreement be interpreted and enforced to the maximum extent permissible under applicable law so as not to render this Agreement, or any provision herein, illegal, invalid, or unenforceable.

If any provision of this Agreement, or any portion thereof, is determined by a court of competent jurisdiction to be unlawful, invalid, or unenforceable, such provision shall be enforced to the maximum extent permissible, and the remaining provisions of this Agreement shall remain in full force and effect. The invalidity or unenforceability of any individual provision shall not affect the validity or enforceability of any other provisions herein, which shall remain binding and enforceable as though the invalid or unenforceable portion had been omitted.

Dispute Resolution

This Agreement, including its formation, interpretation, validity, and enforcement, and any dispute arising out of or relating to this Agreement or your use of the Website or Services, shall be governed by and construed in accordance with the substantive and procedural laws of the State of Maryland and the United States of America, without regard to any principles of conflicts of law or choice of law that would result in the application of the laws of another jurisdiction. Where applicable, this Agreement shall also be subject to the applicable federal laws and regulations of the United States of America.

You agree that the exclusive jurisdiction and venue for any legal action, claim, or proceeding arising out of or relating to this Agreement shall be the state and federal courts located within the State of Maryland. You hereby irrevocably consent to the personal jurisdiction of such courts and waive any objection based on inconvenient forum, lack of personal jurisdiction, or improper venue.

To the fullest extent permitted by law, you hereby knowingly and voluntarily waive any right to a trial by jury in any legal proceeding arising out of or related to this Agreement.

The United Nations Convention on Contracts for the International Sale of Goods shall not apply to this Agreement and is expressly disclaimed.

Modifications to this Agreement

AI Assisted Agency reserves the right, at its sole discretion, to modify, amend, or replace this Agreement, including any terms, conditions, or policies referenced herein, at any time. In the event of any such modification, the “Last Updated” date at the bottom of this page will be revised to reflect the effective date of the updated Agreement. We may also, but are not obligated to, provide additional notice of material changes by other reasonable means, such as via email or other contact information you have provided.

Unless otherwise expressly stated, any such modifications shall become effective immediately upon posting the revised Agreement on the Website. Your continued access to or use of the Website or Services after the effective date of the revised Agreement shall constitute your acknowledgment of, and agreement to, the modified terms. If you do not agree to the updated terms, you must cease use of the Website and Services.

Acknowledgment
